Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“Customer,” “you”) and Hall Pass Digital, LLC d/b/a DonorSparkgoverning your use of the DonorSpark website and service (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
1. The Service
DonorSpark generates shareable “story decks” from information you provide or that we retrieve from your public website. Features depend on your subscription plan. We may modify or improve the Service over time.
2. Accounts
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 and authorized to bind your organization.
3. Plans, billing, and renewals
Paid plans are billed in advance through our payment processor (Stripe) on a recurring basis until cancelled. Fees are non-refundable except as required by law or expressly stated. We may change pricing on renewal with notice. You can cancel at any time; access continues through the end of the paid period.
4. Acceptable use
You agree not to: (a) upload unlawful, infringing, or harmful content; (b) upload personal information you do not have the right to share; (c) attempt to breach security or access other customers’ data; (d) reverse engineer or resell the Service except as permitted; or (e) use the Service to send unlawful communications.
5. Your content
You retain ownership of the content you upload and the decks generated for you (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide the Service. You are responsible for the accuracy and legality of Customer Content.
6. Customer Data & donor consent
This Section governs personal information about third parties— your donors, supporters, and contacts — that you upload to or collect through the Service (“Donor Data”).
- You are the controller; we are the processor.With respect to Donor Data, you are the “controller” (or “business”) and DonorSpark is the “processor” (or “service provider”) under applicable data protection laws, including the GDPR and CCPA/CPRA. We process Donor Data only to provide the Service and on your documented instructions, and we do not sell it or use it for our own purposes. Our Data Processing Addendum applies.
- You represent and warrant thatyou have provided all required notices and have a lawful basis (including any necessary consent) to collect Donor Data and to share it with DonorSpark; that you will honor your donors’ and supporters’ privacy rights; and that you will maintain your own privacy notice disclosing your use of DonorSpark as a service provider.
- Deletion. You may request deletion of specific Donor Data at any time, and we will delete it as described in our Privacy Policy. We will reasonably assist you in responding to data-subject/consumer requests.
- Indemnity. You will defend and indemnify us against claims arising from your failure to obtain a lawful basis or consent for Donor Data, or your other breach of this Section.
7. Intellectual property
DonorSpark and its software, design, and trademarks are owned by us. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service. We may use aggregated, de-identified data to operate and improve the Service.
8. Third-party services
The Service relies on third-party providers (listed at /subprocessors) and may link to third-party sites. We are not responsible for third-party services or content.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate. You are responsible for reviewing generated decks before publishing or sharing them.
10. Limitation of liability
To the maximum extent permitted by law, DonorSpark will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On termination, your right to use the Service ends; we will handle your data as described in the Privacy Policy.
12. Governing law & disputes
These Terms are governed by the laws of the State of Oklahoma, USA, without regard to conflict-of-laws rules, and the exclusive venue for disputes is the state and federal courts located in Oklahoma.
13. Changes
We may update these Terms. Material changes will be posted with an updated date and, where appropriate, notified to you. Continued use after changes means acceptance.
